Terms and Conditions
Introduction
Welcome to Metlly. These Terms & Conditions govern your access to and use of the Metlly website, mobile applications, services, features, content, and related offerings (collectively referred to as the “Platform”). Metlly is a technology-enabled platform that facilitates connections between users and venue partners, including cafés, restaurants, hotels, co-working spaces, meeting venues, and other commercial establishments offering spaces for meetings, networking, business discussions, collaborations, and related activities. By accessing, browsing, registering on, booking through, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree with any part of these Terms, you should immediately discontinue use of the Platform.
Eligibility and Acceptance of Terms
The Platform is intended for individuals who are at least eighteen (18) years of age and legally capable of entering into binding agreements under applicable laws. By using Metlly, you represent and warrant that you satisfy these requirements and that all information provided by you is true, accurate, current, and complete. Metlly reserves the right to request verification of information and may suspend, restrict, or terminate access where inaccurate, misleading, fraudulent, or incomplete information is detected.
User Accounts and Registration
Certain services may require users to create and maintain an account. When creating an account, users agree to provide accurate and up-to-date information and to promptly update such information whenever changes occur. Users are solely responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account. Any unauthorized use, suspected security breach, or unauthorized access should be reported to Metlly immediately. Metlly shall not be liable for any loss or damage arising from a user's failure to adequately safeguard account credentials.
Nature of Platform Services
Metlly operates solely as a technology platform that enables users to discover, evaluate, and book venues offered by independent venue partners. Metlly does not own, lease, manage, operate, supervise, control, inspect, or endorse any venue listed on the Platform. The actual venue services, facilities, amenities, hospitality arrangements, and customer experience are provided directly by the respective venue partners. Metlly’s role is limited to facilitating bookings and related interactions and shall not be interpreted as creating any agency, partnership, employment, joint venture, or ownership relationship between Metlly and any venue partner.
Venue Listings and Information
Venue information displayed on the Platform, including descriptions, images, amenities, pricing, seating capacities, operating hours, facilities, and availability, is primarily provided by venue partners. While Metlly may review and organize such information for presentation purposes, Metlly does not guarantee its accuracy, completeness, reliability, or suitability. Users are encouraged to independently evaluate venue details before making a booking. Metlly shall not be responsible for inaccuracies, omissions, changes, or discrepancies contained within venue listings.
Users are encouraged to verify venue details, location, pricing, amenities, and availability before confirming a booking.
Bookings and Reservations
A booking shall be deemed confirmed only upon successful completion of payment and issuance of a booking confirmation through the Platform. Until such confirmation is issued, no reservation, seat, table, meeting room, workspace, or venue shall be considered reserved or guaranteed. Venue availability may change due to operational requirements, maintenance, unforeseen circumstances, or actions taken by venue partners. Metlly reserves the right to review, modify, or cancel bookings where necessary for operational, legal, security, or compliance-related reasons.
Booking confirmations are subject to venue availability and successful payment processing.
Payments and Charges
Users agree to pay all applicable booking charges, service fees, convenience fees, taxes, and other amounts displayed at the time of booking. Payment transactions may be processed through authorized third-party payment service providers. Metlly does not store complete payment card details, banking credentials, UPI PINs, or other sensitive payment authentication information. Users acknowledge that payment processing may be subject to additional terms, conditions, and policies imposed by financial institutions and payment service providers.
Refunds and Cancellations
All refund requests, cancellations, booking modifications, and related matters shall be governed by the Metlly Refund & Cancellation Policy, which forms an integral part of these Terms. Users are encouraged to review the applicable policy before making a booking. By proceeding with a booking, users acknowledge and accept the refund, cancellation, and modification terms applicable to their reservation.
User Responsibilities and Acceptable Use
Users agree to use the Platform responsibly, lawfully, and in a manner consistent with these Terms. Users shall not engage in fraudulent conduct, impersonation, harassment, abuse, unlawful activities, unauthorized commercial activities, spam, security violations, or any conduct that may negatively affect the Platform, venue partners, or other users. Users remain solely responsible for their actions, communications, and activities conducted through the Platform and agree to comply with all applicable laws and regulations.
Venue Partner Responsibilities
Venue partners utilizing the Platform are expected to provide accurate information, maintain reasonable service standards, honor confirmed bookings, protect user information, and comply with applicable laws and Platform requirements. Venue partners remain solely responsible for the quality, safety, legality, operation, and fulfillment of services offered through their venues. Metlly may suspend, restrict, remove, or terminate venue listings and accounts where violations, misconduct, repeated cancellations, customer complaints, fraudulent conduct, or policy breaches are identified.
Off-Platform Transactions
Users and venue partners agree not to bypass, circumvent, avoid, or undermine the Platform by conducting bookings, reservations, payments, commercial arrangements, or transactions outside Metlly for any lead, inquiry, booking, or connection initially introduced through the Platform. Any attempt to avoid Platform processes, service fees, booking systems, or operational mechanisms may result in suspension, termination, or other enforcement actions deemed appropriate by Metlly.
Reviews, Ratings and User Content
Users may submit reviews, ratings, comments, photographs, feedback, and other content through the Platform. By submitting such content, users grant Metlly a non-exclusive, worldwide, royalty-free right to use, reproduce, display, publish, modify, and distribute such content for Platform-related purposes. Metlly reserves the right to remove content that is false, misleading, unlawful, abusive, offensive, defamatory, infringing, or otherwise inconsistent with Platform standards and policies.
Intellectual Property Rights
All intellectual property rights associated with the Platform, including its name, branding, trademarks, logos, software, technology, designs, content, layout, graphics, databases, and proprietary materials, are owned by or licensed to Metlly. Except as expressly permitted by law, no part of the Platform may be copied, reproduced, distributed, modified, reverse engineered, sold, licensed, or commercially exploited without prior written authorization from Metlly.
Third-Party Services
The Platform may integrate with or rely upon third-party services, including payment processors, hosting providers, analytics services, communication platforms, verification tools, and security providers. Metlly does not control and shall not be responsible for the content, availability, performance, security practices, policies, or actions of such third-party service providers. Users acknowledge that interactions with third-party services may be governed by separate terms and policies.
Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Metlly makes no representations, warranties, guarantees, or assurances regarding the availability, reliability, accuracy, performance, security, suitability, or uninterrupted operation of the Platform or any venue listed through it. Users acknowledge that use of the Platform is undertaken at their own discretion and risk.
Limitation of Liability
To the maximum extent permitted under applicable law, Metlly shall not be liable for any loss, damage, injury, theft, misconduct, negligence, dispute, cancellation, service deficiency, business interruption, loss of profits, loss of opportunity, property damage, personal injury, technical failure, data loss, or any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to the use of the Platform, venue services, venue partners, user interactions, or third-party services. Metlly’s role is limited to facilitating connections and bookings and does not extend to supervising or controlling venue operations.
Indemnification
Users and venue partners agree to indemnify, defend, and hold harmless Metlly, its affiliates, representatives, employees, contractors, service providers, and associated parties from and against any claims, liabilities, damages, losses, penalties, expenses, and legal costs arising from misuse of the Platform, violation of these Terms, unlawful conduct, negligence, disputes, regulatory violations, or infringement of the rights of any third party.
Account Suspension and Termination
Metlly reserves the right to suspend, restrict, investigate, terminate, or otherwise limit access to any account, booking, listing, or Platform feature where violations of these Terms, fraudulent activity, security concerns, misuse, legal requirements, operational issues, or risks to users, venue partners, or the Platform are identified. Such actions may be taken with or without prior notice where reasonably necessary to protect the interests of Metlly or its stakeholders.
Force Majeure
Metlly shall not be responsible for delays, interruptions, failures, disruptions, or inability to provide services resulting from events beyond its reasonable control, including natural disasters, pandemics, government actions, internet outages, cyber incidents, utility failures, labor disputes, public emergencies, acts of war, civil disturbances, or other force majeure events. During such events, Metlly may suspend, modify, or limit certain services without liability.
Changes to Terms
Metlly reserves the right to update, modify, revise, replace, or amend these Terms at any time. Updated versions shall become effective upon publication on the Platform unless otherwise specified. Continued use of the Platform after publication of revised Terms shall constitute acceptance of such modifications. Users are encouraged to periodically review these Terms to remain informed of any updates.
Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute, controversy, claim, or legal proceeding arising out of or relating to these Terms, the Platform, bookings, transactions, venue services, or related activities shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
